If any deliverable is provided on diskette, the diskette shall be scanned for viruses by the contractor and verified to be free of viruses before delivery to NRC. The format of software deliverables is specified in NRC Bulletin 0904-4. Particular attention is necessary to incorporate security features in the design of systems that process sensitive data. Software Development Systems development efforts shall comply with applicable Government-wide Federal Information Processing Standards developed by the National Institute of Standards and Technology, applicable public laws, Office of Management and Budget circulars, and NRC policies and procedures. If in its sole discretion the Company decides to provide training, the most senior employee in the applicable classification who volunteers will be selected for training. The Company will provide employees in the affected classification(s) in the bargaining unit the opportunity to volunteer for the training. The Union and its representatives will protect the confidentiality of Company sensitive and proprietary information disclosed in the notification. This notification will inform the Union of anticipated schedules of introduction of new technology, and will identify areas of skill impacts and any training programs, which may be associated with those impacts. In order that employees can better prepare themselves for the skill requirements of the future and in its fulfillment of its obligation to provide information to the Union, the Company will provide notification to the Union full-time Business Representative or his designee of the Company's plans for the introduction of new technology which may affect the employees. In this way, the Company will be able to compete effectively in the marketplace. New Technology The Company and the Union agree that it is to their mutual benefit and sound economic and social goals to utilize the most efficient machines, processes, systems, methods and/or materials.

Further, for purposes of this Agreement, “Software” means any and all computer programs, whether in source code or object code databases and compilations, whether machine readable or otherwise descriptions, flow-charts and other work product used to design, plan, organize and develop any of the foregoing and all documentation, including user manuals and other training documentation, related to any of the foregoing. Technology For purposes of this Agreement, “Technology” means all Software, information, designs, formulae, algorithms, procedures, methods, techniques, ideas, know-how, research and development, technical data, programs, subroutines, tools, materials, specifications, processes, inventions (whether or not patentable and whether or not reduced to practice), apparatus, creations, improvements and other similar materials, and all recordings, graphs, drawings, reports, analyses, and other writings, and other embodiments of any of the foregoing, in any form or media whether or not specifically listed herein. The Parties will encourage and facilitate, as appropriate, the following activities including, but not limited to: The aims of cooperation in research, science and technology, carried out in the mutual interest of the Parties and in compliance with their policies, will be: (a) to build on existing agreements already in place for cooperation on research, science and technology (b) to encourage, where appropriate, government agencies, research institutions, universities, private companies and other research organizations in the Parties to conclude direct arrangements in support of cooperative activities, programs or projects within the framework of this Agreement, specially related to trade and commerce and (c) to focus cooperative activities towards sectors where mutual and complementary interests exist, with special emphasis on information and communication technologies and software development to facilitate trade between the Parties.
